1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and Vertex Learning regarding your access to and use of our website and educational services.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with any part of these terms, you must not use our services.

These terms apply to all visitors, participants, and users of Vertex Learning programmes and services.

2. Definitions

"Service" refers to educational programmes, training courses, and related services provided by Vertex Learning.

"User" or "You" means any person accessing our website or participating in our programmes.

"Content" includes all text, images, videos, code, materials, and resources provided through our services.

"We", "Us", or "Our" refers to Vertex Learning, operating from Singapore.

"Programme" refers to any structured educational offering including AI Research Skills, Conversational AI Development, or Energy Management training.

3. Use of Services

3.1 Eligibility

• Users must be at least 18 years old to access our services

• You must provide accurate and complete registration information

• You are responsible for maintaining the confidentiality of your account credentials

• You may not share your account access with others

3.2 Acceptable Use

Our services are provided for educational and professional development purposes. You agree to use them responsibly and in accordance with applicable laws.

• Services are for personal or professional educational use only

• You may not reproduce, distribute, or commercialize programme materials without written permission

• Access to learning platforms must comply with our technical and security requirements

• You must maintain professional conduct in all interactions with instructors and fellow participants

4. Prohibited Activities

Users may not engage in the following activities:

Violate any applicable laws, regulations, or third-party rights
Infringe on intellectual property rights of Vertex Learning or others
Transmit viruses, malware, or other harmful code
Attempt unauthorized access to our systems or networks
Engage in fraudulent activities or misrepresentation
Harass, threaten, or abuse other users or staff members
Use automated tools to scrape, copy, or download content
Circumvent security measures or access restrictions

5. Intellectual Property Rights

5.1 Our Content

All content provided through our services, including course materials, lectures, presentations, code examples, and documentation, remains the intellectual property of Vertex Learning or our licensors.

You are granted a limited, non-exclusive, non-transferable license to access and use programme materials solely for personal educational purposes during your enrollment period. This license does not permit reproduction, distribution, public display, or commercial use without explicit written permission.

5.2 Your Content

You retain ownership of original work you create during programmes, including project code, documentation, and analysis. By submitting work for assessment, you grant us a license to review, evaluate, and provide feedback on your submissions.

We may showcase anonymized or aggregated examples of participant work for educational or promotional purposes, but will seek your explicit consent before using identifiable work publicly.

6. Payment and Enrollment

6.1 Programme Fees

Programme fees are stated in Singapore Dollars (SGD) and must be paid according to the payment schedule communicated during enrollment. Fees cover access to programme materials, instructor support, and assessment services for the specified duration.

6.2 Refund Policy

Refund eligibility depends on the timing of withdrawal and circumstances:

• Withdrawal before programme start: Full refund minus administrative fee (10%)

• Withdrawal within first week: 75% refund of programme fee

• Withdrawal after first week: No refund, though access to materials continues through scheduled end date

• Exceptional circumstances: Evaluated on case-by-case basis

6.3 Payment Terms

Payment is due at enrollment unless alternative arrangements have been agreed in writing. Late payment may result in suspension of access to programme materials and services until payment is received.

7. Programme Completion and Certification

Completion of programmes requires meeting specified assessment criteria and participation requirements as communicated at programme start. We issue certificates of completion to participants who successfully meet these requirements.

Certificates indicate programme completion and do not constitute professional licensure, accreditation, or employment qualification. Participants are responsible for verifying the recognition and applicability of our certificates to their specific professional or educational contexts.

We reserve the right to withhold certificates from participants who violate academic integrity policies or these terms of service.

8. Disclaimers and Limitations of Liability

8.1 Service Provision

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for high quality and accuracy, we do not warrant that:

• Services will be uninterrupted or error-free

• Defects will be corrected immediately

• Content is completely accurate or up-to-date

• Results or outcomes are predictable or assured

8.2 Limitation of Liability

To the maximum extent permitted by Singapore law, Vertex Learning's liability is limited to the programme fees paid by you. We are not liable for:

• Indirect, incidental, or consequential damages

• Loss of profits, data, or business opportunities

• Damages arising from your use or inability to use services

• Third-party actions or content

8.3 User Responsibility

You assume all risk related to your use of services and application of learned concepts. Individual outcomes depend on effort, prior knowledge, and circumstances beyond our control.

9. Dispute Resolution

9.1 Informal Resolution

If disputes arise, we encourage first attempting informal resolution by contacting us directly. Many concerns can be addressed through open communication.

9.2 Mediation

If informal resolution is unsuccessful, both parties agree to attempt mediation before pursuing formal legal action. Mediation will be conducted in Singapore by a mutually agreed mediator.

9.3 Governing Law and Jurisdiction

These terms are governed by the laws of Singapore. Any legal proceedings must be brought in the courts of Singapore.

Both parties submit to the exclusive jurisdiction of Singapore courts for resolution of disputes that cannot be settled through mediation.

10. Termination

10.1 By You

You may terminate your use of services at any time by ceasing to access our website and notifying us of your withdrawal from programmes. Refund eligibility follows the policy stated in Section 6.2.

10.2 By Us

We may suspend or terminate your access immediately for violations of these terms, including but not limited to:

• Breach of acceptable use policies

• Academic dishonesty or integrity violations

• Harassment or abusive behavior

• Fraudulent activity or payment issues

• Security threats or unauthorized access attempts

10.3 Effect of Termination

Upon termination, your right to access services ceases immediately. Provisions regarding intellectual property, limitations of liability, and dispute resolution survive termination.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated through:

• Email notification to registered participants

• Prominent notice on our website

• Updated "Last Updated" date at the top of this document

Your continued use of services after changes take effect constitutes acceptance of the modified terms. If you disagree with changes, you must cease using our services.

12. General Provisions

12.1 Entire Agreement

These terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vertex Learning regarding use of our services.

12.2 Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these terms. We may assign our rights and obligations to any successor entity.

12.5 Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.
